In today’s local and international business environment, success requires a solid foundation and flexibility to adapt quickly to ever changing realities. Whatever your place in the global village, this means having the right corporate structure for your business enterprise.
In corporate law, results are achieved by a thorough understanding of your business and the legal environment in which it operates. Using the incorporation, amalgamation, continuation and winding up provisions of the Nova Scotia Companies Act and the Canada Business Corporations Act, Brian works closely with new business owners and their financial advisors to implement the corporate structure best suited to their business needs and with existing corporations to restructure for acquisitions and mergers, equity and debt financing, estate freezes for succession and tax planning, and creditor protection.
Brian serves as registered agent and corporate solicitor for a number of privately held companies regularly advising clients on corporate governance, shareholder agreements, record keeping, privacy laws, corporate finance, contracts, and regulatory, employment and corporate real estate matters.
Where a corporate structure is not advised, Brian assists in establishing sole proprietorships, partnerships and other forms of business associations.
